About this template

Scrip is the complete working system of a share registrar - the house that keeps the legal register of members for private and listed companies and administers everything that happens to a share once it has been issued. It issues and cancels certificates, settles and stamps transfers, administers the scrip dividend election by which a shareholder takes new shares instead of cash, runs the corporate actions that change the capital, operates the employee share schemes and their vesting, maintains the register of persons with significant control, runs the general meeting with its proxies and its poll, pays the dividends and chases the unpresented warrants, and reconciles the issued capital to the register every single day.

Fourteen real modules, each a browsable page with real seeded data. The REGISTER OF MEMBERS carries every holder with their reference, their name and designation exactly as registered, their class and holding, whether it is CERTIFICATED or UNCERTIFICATED, the joint holders in their registered order, and the bank mandate held or absent. SHARE CLASSES AND ISSUED CAPITAL states the shares authorised against those issued and those held in treasury, with the voting and dividend rights of each class. CERTIFICATES AND HOLDINGS tracks the paper itself - current, cancelled on transfer, replaced on indemnity, or reported lost and not yet replaced. TRANSFERS AND STAMPING carries the consideration, whether stamp duty is payable or exempt with the exemption category stated, the duty calculated, the date stamped, and the transfers rejected with the defect named.

DIVIDENDS AND PAYMENTS, SCRIP DIVIDEND ELECTIONS with their reference price and election window, CORPORATE ACTIONS from bonus issue to capital reduction, EMPLOYEE SCHEMES AND VESTING tranche by tranche against their performance conditions, PERSONS WITH SIGNIFICANT CONTROL with the condition each person is registrable under, the GENERAL MEETING with every resolution and the proxies lodged against it, UNCLAIMED AND DORMANT HOLDINGS running the statutory period toward forfeiture, and the DAILY CAPITAL RECONCILIATION complete the registrar's view. A SHAREHOLDER PORTAL shows a member their holding, their dividend history, the scrip election open to them and a proxy they can lodge, and a REGISTRAR DASHBOARD closes the loop.

The signature drawing is the issued capital movement and reconciliation plate: twelve months ruled along the horizontal axis and shares in issue up the vertical, each share class stepped in its own line and named at its own terminal point on an opaque chip, the register total running a second line on a lane of its own directly beneath so the two can be read against each other, the four corporate actions effected in the year ruled as vertical divisions at their real effective dates with type and ratio on their own chips, and the single reconciliation break aged over five days struck in signal red and called out by its date. Designed in Swiss International Style grid typography of the Neue Grafik era crossed with a 1970s exchange ticker board: a cool paper grey ground, near-black graphite ink, steel hairline grid divisions, and a single signal red reserved strictly for a break aged over five days, a transfer rejected for a defect, a warrant unpresented over twelve months, a restrictions notice in force, a certificate lost and not replaced, a holding eligible for forfeiture or an award vesting inside ninety days.
